Privacy Notice

To Husky’s vendors and customers

This privacy notice (the Privacy Notice) informs you - either as (i) our vendor or supplier, or (ii) as our customer or prospect, as well as individuals related to you whose personal data we process in the course of our relationship with you (e.g. if our customer or vendor is a legal entity: legal representatives, employees, contact persons) (“you” or “your”) - about the processing of your personal data (i.e. data by which you may be directly or indirectly identified), as well as of your rights in accordance with the Data Protection Legislation (as defined below).

Data Protection Legislation means Regulation 2016/679 of the European Parliament and of the Council of 27 April 2016 (“GDPR”), the relevant guidance from the European Data Protection Board, the Canadian Personal Information Protection and Electronic Documents Act (“PIPEDA”), the California Consumer Privacy Act (“CCPA”), and any other applicable laws and regulations relating to the processing of personal data and privacy and the guidance and codes of practice issued by the relevant supervisory authorities, as such legislation and guidance may be amended, replaced or repealed from time to time.

The terms “personal data”, “data controller” and “data processor” shall have the meaning given to them as set out in the Data Protection Legislation.

1. WHO IS THE DATA CONTROLLER AND WHO TO CONTACT?

Any personal data provided to or collected by us will be processed (i.e. used, stored, transmitted, etc.) in accordance with this Privacy Notice by your contracting entity which may either be:

2. WHAT PERSONAL DATA ARE PROCESSED?

The categories of personal data we process about you include:

  • identification data (e.g. first name, last name, business e-mail address, business telephone number, professional address, passport, identity card, tax identification number, copies of identification documents);
  • personal characteristics (e.g. gender);
  • employment and occupation (e.g. employer, function, title, place of work);
  • documents gathered during the process of concluding the contract;
  • communication data (e.g. exchanges with you by phone or e-mail);
  • images and sound (e.g. photos and videos);
  • other information provided by you (e.g. survey responses); and
  • information collected for analytics purposes (e.g. IP address, and persistent IDs).

 

3. FOR WHICH PURPOSES DO WE PROCESS YOUR DATA AND ON WHICH LEGITIMACY GROUNDS?

       Hereinafter, we inform you about the purposes and legal basis of the processing of your personal data by us.

3.1    As regards vendors and suppliers

(a)    To the extent the vendor or supplier is an individual, for the performance of contractual obligations to the extent you have concluded a contract with us

We process your personal data in view of entering into or for the performance of our contractual relationship with you, e.g. to keep a record of our relationship with you or to properly order products or services from you.

(b)    For our legitimate interests

We may also process your personal data to pursue our or a third party’s legitimate interests. This is carried out for the following purposes:

  • to manage our suppliers and service providers throughout the supply chain;

  • for the prevention and investigation of crime, as well as risk management and fraud prevention; and
  • any other purposes imposed by law and competent authorities.

3.2    As regards customers or prospects

(a)     To the extent the customer is an individual, for the performance of contractual obligations to the extent you have concluded a contract with us

          We process your data in view of entering into or for the performance of our contracts with you, e.g. to keep a record of our relationship with you or to properly deliver products or services to you.

(b)   For our legitimate interests

       We may also process your personal data to pursue our or a third party’s legitimate interests. This is carried out for the following purposes:

  • to offer our products and services to our customers and for the general management and development of our services and products;
  • to deliver the products or services based on information provided beforehand;
  • for client advisory services and sales (e.g. to verify your identity when you contact us; to inform you on the use, or potential use of our products and services) including to make suggestions and recommendations to you about goods or services that may be of interest to you;

(c)    With your consent

Insofar as you have given us your consent for the processing of personal data, such consent will serve as a legal basis for the referred processing. This includes the use and further processing of your data with your consent (which consent may be withdrawn at any time, without affecting the lawfulness of processing based on consent before its withdrawal) for example receiving marketing materials about products and services of the Husky Group.

This includes your consent that you may have given to be contacted by phone or email for offers and promotions.

 

4. WHO RECEIVES YOUR PERSONAL DATA?

The following recipients may receive your personal data:

  • Our shareholders, agents, employees, consultants, representatives, financial intermediaries, auditors, and service providers;
  • Other companies or entities within the Husky Group (and if necessary their respective shareholders, agents, employees, consultants, representatives, financial intermediaries, auditors, and service providers);
  • Our service providers such as IT software suppliers and SaaS providers (including forensic specialists), background checking services and accountants appointed by us that process your personal data on our instructions;
  • Our financial, tax or legal advisors appointed by us that process your personal data on our instructions;
  • Administrative bodies, judicial, social security and supervisory authorities (including privacy authorities, tax authorities, etc.);
  • Parties involved in the context of a company restructuring, transfer, divestiture, merger or acquisition at our level or the level of Husky group; and
  • Entities that act on behalf of you or which have a business relation with you such as payment recipients, beneficiaries, authorized representatives or other intermediaries.

 

5. WHERE IS YOUR PERSONAL DATA TRANSFERRED TO?

For the purposes listed above, your personal data will be transferred to any of the aforementioned recipients and service providers in countries located in or outside of the European Economic Area (the EEA).

Personal data may be transferred by Husky to the following countries located outside of the EEA: Canada, United States of America, Switzerland, India and China or any other location in which Husky or its Affiliates or processors maintain facilities.

Certain countries in which recipients and data processors may be located and to which personal data may be transferred may not have the same level of protection of personal data as the one afforded in the EEA. We will ensure that where other non- EEA affiliated or third party service providers receive Personal data outside of the EEA, that they too commit to provide the same level of protection  transferred to countries outside of the EEA will be protected  by implementing appropriate safeguards such as binding corporate rules or standard contractual clauses approved by the European Commission and you may obtain a copy of such safeguards by contacting us using the contact details provided in clause 1.

 

6. DO YOU HAVE THE OBLIGATION TO PROVIDE THE PERSONAL DATA?

The personal data that are required for the formation and/or performance of the contract with you and that are required to comply with our legal obligations is mandatory.

Without the provision of these personal data we are not able to enter into or continue the performance of a contract with you.

 

7. HOW LONG WILL WE KEEP YOUR PERSONAL DATA?

As far as necessary, we will keep your data for the duration of our business relationship and applicable terms of limitation, which includes the preparation and signing of a contract.

In addition, we are subject to various retention and documentation obligations, which inter alia follow from the respective local laws.

Finally, in the event of a dispute, we shall be entitled to keep the personal data for a longer period to enable us to establish, exercise and defend our rights, according to other retention periods.

 

8. TO WHAT EXTENT DO WE USE AUTOMATED DECISION MAKING OR PROFILING?

In general, we do not use automated individual decision-making or profiling in the course of the relationship with you. If we should rely on such processing in a particular situation, we will inform you separately, insofar we are legally required to do so.

 

9. WHAT ARE YOUR RIGHTS IN RELATION TO YOUR PERSONAL DATA?

Depending on your country of residence, you may have the following rights:

9.1    Right to information, rectification, erasure and restriction of processing

You may request to obtain at no costs, within reasonable intervals, and in a timely manner, the communication of your personal data being processed, as well as all information on the origin of such personal data.

You also have the right to rectify your personal data held about you that is inaccurate.

In cases where the accuracy of the personal data is contested, the processing is unlawful, or where you have objected to the processing of your personal data, you may ask for the restriction of the processing of such personal data. In case processing is restricted, you will be informed before the restriction of processing is lifted.

9.2    Right to object

In such a case we will no longer process your personal data unless we have compelling legitimate grounds for the processing which override your interests, rights and freedoms or for the establishment, exercise or defence of legal claims.

Your right to object is not bound to any formalities.

9.3    Right to withdraw consent

11.3 Right to be free from discrimination: We will not discriminate against you for exercising any of your rights under the CCPA. 

11.4 We engage certain trusted third parties to perform functions and provide services to us, including hosting and maintenance, error monitoring, debugging, performance monitoring, billing, customer relationship, database storage and management, and direct marketing campaigns.  We may share your personally identifiable information with these third parties, but only to the extent necessary to perform these functions and provide such services.
