This privacy notice (the Privacy Notice) informs you - either as (i) our vendor or supplier, or (ii) as our customer or prospect, as well as individuals related to you whose personal data we process in the course of our relationship with you (e.g. if our customer or vendor is a legal entity: legal representatives, employees, contact persons) (“you” or “your”) - about the processing of your personal data (i.e. data by which you may be directly or indirectly identified), as well as of your rights in accordance with the Data Protection Legislation (as defined below).

Data Protection Legislation means Regulation 2016/679 of the European Parliament and of the Council of 27 April 2016 (“GDPR”), the relevant guidance from the European Data Protection Board, the Canadian Personal Information Protection and Electronic Documents Act (“PIPEDA”), the California Consumer Privacy Act (“CCPA”), and any other applicable laws and regulations relating to the processing of personal data and privacy and the guidance and codes of practice issued by the relevant supervisory authorities, as such legislation and guidance may be amended, replaced or repealed from time to time.

The terms “personal data”, “data controller” and “data processor” shall have the meaning given to them as set out in the Data Protection Legislation.

Please be advised that this notice is intended for those over the age of eighteen. If you are under the age of eighteen please do not provide us any personal data.

1. WHO IS THE DATA CONTROLLER AND WHO TO CONTACT?

Any personal data provided to or collected by us will be processed (i.e. used, stored, transmitted, etc.) in accordance with this Privacy Notice by your contracting entity which may either be:

Husky Technologies^TM, a limited liability company, incorporated and existing under the laws of the Province of British Columbia, Canada, having its registered office at 500 Queen Street South, Bolton, Ontario L7E5S5, Canada /or any of its affiliated and subsidiary companies listed in the Annex (individually “we”, “us”, or “our” and together the Husky Group), in our capacity of data controller.

2. WHAT PERSONAL DATA ARE PROCESSED?

The categories of personal data we process about you include:

identification data (e.g. first name, last name, business e-mail address, business telephone number, professional address, passport, identity card, tax identification number, copies of identification documents);
personal characteristics (e.g. gender);
employment and occupation (e.g. employer, function, title, place of work);
documents gathered during the process of concluding the contract;
communication data (e.g. exchanges with you by phone or e-mail);
images and sound (e.g. photos and videos);
other information provided by you (e.g. survey responses); and
information collected for analytics purposes (e.g. IP address, and persistent IDs).

3. FOR WHICH PURPOSES DO WE PROCESS YOUR DATA AND ON WHICH LEGITIMACY GROUNDS?

Hereinafter, we inform you about the purposes and legal basis of the processing of your personal data by us.

3.1 As regards vendors and suppliers

(a) To the extent the vendor or supplier is an individual, for the performance of contractual obligations to the extent you have concluded a contract with us

We process your personal data in view of entering into or for the performance of our contractual relationship with you, e.g. to keep a record of our relationship with you or to properly order products or services from you.

(b) For our legitimate interests

We may also process your personal data to pursue our or a third party’s legitimate interests. This is carried out for the following purposes:

to manage our suppliers and service providers throughout the supply chain;
to prepare purchase orders and pay invoices;
to benefit from cost-effective services (e.g. we may opt to use certain platforms offered by our vendors and suppliers to process data
to organise tenders, implement tasks in preparation of or to enter into contracts;
to pursue new Husky business development opportunities;
to monitor activities at our facilities, including compliance with applicable policies as well as health and safety rules in place;
to meet our corporate and social responsibility objectives;
to ensure the security of our IT systems, architecture and networks;
to grant you access to our training modules;
to manage mergers and acquisitions involving us whether it is at company or group level;
for archiving and record-keeping;
for the establishment, exercise and defence of legal claims;
for the prevention and investigation of crime, as well as risk management and fraud prevention; and
any other purposes imposed by law and competent authorities.

3.2 As regards customers or prospects

(a) To the extent the customer is an individual, for the performance of contractual obligations to the extent you have concluded a contract with us

We process your data in view of entering into or for the performance of our contracts with you, e.g. to keep a record of our relationship with you or to properly deliver products or services to you.

(b) For our legitimate interests

We may also process your personal data to pursue our or a third party’s legitimate interests. This is carried out for the following purposes:

to offer our products and services to our customers and for the general management and development of our services and products;
to deliver the products or services based on information provided beforehand;
for client advisory services and sales (e.g. to verify your identity when you contact us; to inform you on the use, or potential use of our products and services) including to make suggestions and recommendations to you about goods or services that may be of interest to you;
to assure the continuity, safety and security of our products and services by notably revising them whenever it is necessary;
to keep a record of your relationship with us;
For billing and invoicing;
post-sales services, such as after-sales maintenance (if any) or customer service related matters, or to deal with enquiries and complaints from you about our products or services;
for the marketing by us of similar products or services and/or to proceed with marketing research, with the possibility for you to object at any time to the use of your data for such purposes;
to meet our corporate and social responsibility objectives;
to ensure the security of our IT systems, architecture and networks;
to grant you access to our training modules allowing us to provide you with certain services;
to manage mergers and acquisitions involving us whether it is at company or group level;

for the establishment, exercise and defence of legal claims;
for the prevention and investigation of crime, as well as risk management and fraud prevention; and
any other purposes imposed by law and competent authorities.

Insofar as you have given us your consent for the processing of personal data, such consent will serve as a legal basis for the referred processing. This includes the use and further processing of your data with your consent (which consent may be withdrawn at any time, without affecting the lawfulness of processing based on consent before its withdrawal) for example receiving marketing materials about products and services of the Husky Group.

This includes your consent that you may have given to be contacted by phone or email for offers and promotions.

4. WHO RECEIVES YOUR PERSONAL DATA?

The following recipients may receive your personal data:

Our shareholders, agents, employees, consultants, representatives, financial intermediaries, auditors, and service providers;
Other companies or entities within the Husky Group (and if necessary their respective shareholders, agents, employees, consultants, representatives, financial intermediaries, auditors, and service providers);
Our service providers such as IT software suppliers and SaaS providers (including forensic specialists), background checking services and accountants appointed by us that process your personal data on our instructions;
Our financial, tax or legal advisors appointed by us that process your personal data on our instructions;
Administrative bodies, judicial, social security and supervisory authorities (including privacy authorities, tax authorities, etc.);
Parties involved in the context of a company restructuring, transfer, divestiture, merger or acquisition at our level or the level of Husky group; and
Entities that act on behalf of you or which have a business relation with you such as payment recipients, beneficiaries, authorized representatives or other intermediaries.

5. WHERE IS YOUR PERSONAL DATA TRANSFERRED TO?

For the purposes listed above, your personal data will be transferred to any of the aforementioned recipients and service providers in countries located in or outside of the European Economic Area (the EEA).

Personal data may be transferred by Husky to the following countries located outside of the EEA: Canada, United States of America, Switzerland, India and China or any other location in which Husky or its Affiliates or processors maintain facilities.

Certain countries in which recipients and data processors may be located and to which personal data may be transferred may not have the same level of protection of personal data as the one afforded in the EEA. We will ensure that where other non- EEA affiliated or third party service providers receive Personal data outside of the EEA, that they too commit to provide the same level of protection transferred to countries outside of the EEA will be protected by implementing appropriate safeguards such as binding corporate rules or standard contractual clauses approved by the European Commission and you may obtain a copy of such safeguards by contacting us using the contact details provided in clause 1.

6. DO YOU HAVE THE OBLIGATION TO PROVIDE THE PERSONAL DATA?

The personal data that are required for the formation and/or performance of the contract with you and that are required to comply with our legal obligations is mandatory.

Without the provision of these personal data we are not able to enter into or continue the performance of a contract with you.

7. HOW LONG WILL WE KEEP YOUR PERSONAL DATA?

As far as necessary, we will keep your data for the duration of our business relationship and applicable terms of limitation, which includes the preparation and signing of a contract.

In addition, we are subject to various retention and documentation obligations, which inter alia follow from the respective local laws.

Finally, in the event of a dispute, we shall be entitled to keep the personal data for a longer period to enable us to establish, exercise and defend our rights, according to other retention periods.

8. TO WHAT EXTENT DO WE USE AUTOMATED DECISION MAKING OR PROFILING?

In general, we do not use automated individual decision-making or profiling in the course of the relationship with you. If we should rely on such processing in a particular situation, we will inform you separately, insofar we are legally required to do so.

9. WHAT ARE YOUR RIGHTS IN RELATION TO YOUR PERSONAL DATA?

Depending on your country of residence, you may have the following rights:

9.1 Right to information, rectification, erasure and restriction of processing

You may request to obtain at no costs, within reasonable intervals, and in a timely manner, the communication of your personal data being processed, as well as all information on the origin of such personal data.

You also have the right to rectify your personal data held about you that is inaccurate.

In cases where the accuracy of the personal data is contested, the processing is unlawful, or where you have objected to the processing of your personal data, you may ask for the restriction of the processing of such personal data. This means that personal data will, with the exception of storage, only be processed with or for the establishment, exercise or defence of legal claims, for the protection of the rights of another natural or legal person or for reasons of important public interest of the European Union or of an EU Member State. In case processing is restricted, you will be informed before the restriction of processing is lifted.

You may request the deletion of personal data held about you, without undue delay when the use or other processing of such personal data is no longer necessary for the purposes described above, and notably when consent relating to a specific processing has been withdrawn or where the processing is not or no longer lawful for other reasons.

9.2 Right to object

You may object to the processing of your personal data which is based on the legitimate interests pursued by us or a third party.

In such a case we will no longer process your personal data unless we have compelling legitimate grounds for the processing which override your interests, rights and freedoms or for the establishment, exercise or defence of legal claims.

Your right to object is not bound to any formalities.

9.3 Right to withdraw consent

Where the processing of your personal data is based on your consent, you have the right to withdraw your consent at any time, without affecting the lawfulness of processing based on consent before its withdrawal. The withdrawal only affects future processing.

9.4 Right to data portability

Where the processing of your personal data is based on your consent or the execution of a contract with you, you also have the right to data portability for information you provided to us – this means that you can obtain a copy of your data in a commonly use electronic format so that you can manage and transmit it to another data controller.

9.5 Right to lodge a complaint

You can exercise your rights any time by contacting us using the contact details provided in clause 1.

In the event that you wish to make a complaint about how we process your personal data, please contact us in the first instance at the email address indicated above and we will endeavour to deal with your request as soon as possible.

10. USE OF EXTERNAL TOOLS ON OUR WEBSITE

We have integrated the component Google Analytics on this website.

Google Analytics is a web analytics service. Web analysis is the gathering, collection and analysis of data about the behaviour of visitors to websites. Among other things, a web analysis service collects data on which website a data subject has come to a website from (so-called referrers), which subpages of the website were accessed or how often and for which period of time a subpage was viewed. 11. SPECIAL INFORMATION FOR CALIFORNIA RESIDENTS

We do not sell your personal information as provided under the CCPA at this time.

11.1 Right to request disclosure as to personal information we have collected about you: Upon a verifiable request, made through one of the methods provided within the “Contact Information” section below, we will disclose to you the items listed below, one or more of which may be provided by reference to this Policy:

(a) The categories of personal information we have collected about the you.

(b) The categories of sources from which the personal information was collected.

(d) The categories of third parties with whom we have shared the information.

(e) The specific pieces of personal information we have collected about you.

11.2 Right to request deletion: upon a verifiable request, made through one of the methods provided within the “Contact Information” section below, we will delete personal information we have regarding you and direct our service providers to delete your personal information from their records, to the extent provided by the CCPA. Please note that one or more exceptions may cause us to deny your deletion request as set forth below:

(a) Complete the transaction for which we collected the personally identifiable information provide a good or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.

(b) Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities.

(e) Comply with a legal obligation.

(f) Make other internal and lawful uses of that information that are compatible with the context in which you provided it.

11.3 Right to be free from discrimination: We will not discriminate against you for exercising any of your rights under the CCPA.

11.4 We engage certain trusted third parties to perform functions and provide services to us, including hosting and maintenance, error monitoring, debugging, performance monitoring, billing, customer relationship, database storage and management, and direct marketing campaigns. We may share your personally identifiable information with these third parties, but only to the extent necessary to perform these functions and provide such services. We also require these third parties to maintain the privacy and security of the personally identifiable information they process on our behalf.

We may amend this Privacy Notice from time to time to ensure that you are fully informed about all processing activities and our compliance with applicable Data Protection Legislation.

13. INFORMATION ON INDIVIDUALS RELATED TO YOU

Where you share personal data on individuals related to you with us, you shall ensure such disclosure is in compliance with applicable Data Protection Legislation and that there is no prohibition or restriction which could prevent or restrict you from disclosing or transferring the personal data to us for the purposes set out in this Privacy Notice and to data recipients listed in clause 4 of this notice.

In addition, where you share personal data on individuals related to you, you undertake to inform them about (i) the processing of their personal data for the above mentioned purposes and (ii) their rights to notably access and correct their personal data and all other rights stemming from applicable Data Protection Legislation.
